These Terms and Conditions ("Terms") govern your use of the Planning-app application for mobile devices and web browsers, together with any related services operated by Stéphane BEIGNET, an individual entrepreneur registered in France (SIREN 492459888 — SIRET 49245988800029, Nantes, France) (collectively, the "Application"). Stéphane BEIGNET is hereby referred to as the "Service Provider".

By downloading, accessing, or using the Application, you agree to be bound by these Terms. If you do not agree, please do not use the Application.

1. Acceptance of Terms

By creating an account or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply to specific features or services.

2. Description of Service

The Application provides planning, scheduling, task management, collaborative notes, and related productivity tools for individuals and businesses. The Service Provider reserves the right to modify, suspend, or discontinue any aspect of the Application at any time with reasonable notice.

3. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify the Service Provider immediately of any unauthorized use of your account.

You must provide accurate, current, and complete information during the registration process and keep your account information updated.

Trial account creation requires accurate professional identification information: the manager's first and last name, the company name, a professional email address, a phone number and the company's SIRET number. The email address is verified by a 6-digit code sent by email, and the SIRET number is checked against the French public service "Recherche d'entreprises" (DINUM — Sirene/INSEE data), including whether it matches the name provided. The company name determines the workspace web address (subdomain). Inaccurate information or a non-matching SIRET may result in the trial being refused or suspended.

4. Acceptable Use

You agree not to use the Application for any unlawful purpose or in violation of any applicable laws or regulations. Prohibited activities include, but are not limited to:

Attempting to interfere with, compromise, or disrupt the Application's security or functionality
Uploading or transmitting viruses, malware, or any harmful code
Using the Application to send unsolicited communications (spam)
Violating the intellectual property rights of others
Accessing or attempting to access data not intended for your use

5. Subscriptions and Payments

Certain features of the Application may require a paid subscription. Subscription fees, billing cycles, and renewal terms will be clearly communicated at the time of purchase.

All fees are non-refundable except as expressly stated in our refund policy or as required by applicable law. The Service Provider reserves the right to change subscription fees with 30 days' notice.

6. Intellectual Property

The Application, including all content, features, and functionality, is owned by the Service Provider and is protected by international copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Application for your personal or business purposes in accordance with these Terms.

7. User Data and Privacy

The Service Provider respects your privacy. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of any data you submit to the Application. By submitting data, you grant the Service Provider a worldwide, royalty-free license to host, store, and process your data solely for the purpose of providing the Application's services.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Service Provider shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Application.

The total liability of the Service Provider for any claim arising from these Terms or the Application shall not exceed the amount you have paid to the Service Provider in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Application is provided "as is" and "as available" without warranties of any kind, either express or implied. The Service Provider does not guarantee that the Application will be uninterrupted, error-free, or secure at all times.

10. Termination

The Service Provider may terminate or suspend your access to the Application at any time, without prior notice, for conduct that violates these Terms or is otherwise harmful to the Application, its users, or third parties.

Upon termination, your right to use the Application will immediately cease. Sections 6, 7, 8, 9, and 12 shall survive termination.

11. Changes to Terms

The Service Provider reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Application. Your continued use of the Application after such modifications constitutes your acceptance of the updated Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of France.
